The Securities and Exchange Commission (SEC) recently appointed James Moloney to be the next Division of Corporation Finance director, effective in October.

Moloney previously served at the SEC from 1994 to 2000 as an attorney-adviser and later as a special counsel in the Division of Corporation Finance Office’s Mergers & Acquisitions. He was the primary author of a comprehensive set of rules governing mergers and acquisitions, tender offers and proxy solicitations.
For the past 25 years, Moloney has worked at Gibson Dunn & Cutcher in various positions from corporate associate to equity partner. He has advised clients on private transactions, mergers and acquisitions, disclosure rules, tender offers, proxy contests, and corporate governance matters. In addition, he has been co-chairman of the firm’s securities regulation and corporate governance practice.
Moloney replaces Acting Director Cicely LaMothe who returns to her role as Division of Corporation Finance deputy director.
“Jim is a seasoned professional who understands all aspects of corporate governance and disclosure,” SEC Chairman Paul Atkins said. “He brings decades of experience to our regulatory efforts with an eye toward supporting innovation and facilitating capital formation. I am eager to get to work with him, Cicely, and others in the Division of Corporation Finance to modernize and improve our existing rules and alleviate disclosure burdens.”
